1. Acceptance of Terms

By accessing and using InsightMeter ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

InsightMeter provides financial data analysis services including but not limited to:

• Prediction accuracy tracking and analysis
• Insider trading data and alpha analysis
• 13F institutional holdings data
• Financial market intelligence and analytics

3. User Registration and Account Security

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer both free and premium subscription tiers:

• Free Tier: Limited access to basic features and data
• Pro Tier: Full access to all features and comprehensive data

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• Refund policies vary by jurisdiction: EU users have 14-day cooling-off period; US users may request refunds within 7 days; other jurisdictions subject to local consumer protection laws
• We reserve the right to change subscription fees with 30 days notice
• Failed payments may result in service suspension

5. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include:

• Attempting to gain unauthorized access to our systems
• Copying, modifying, or distributing our data without permission
• Using automated systems to access the Service
• Reselling or redistributing our data to third parties
• Using the Service for any illegal financial activities

6. Intellectual Property Rights

All content, data, and materials provided through the Service, including but not limited to text, graphics, logos, and software, are the property of InsightMeter or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes only.

7. Data Accuracy and Disclaimers

• We strive for accuracy but cannot guarantee the completeness or accuracy of all data
• Data may be delayed or contain errors
• Past performance does not guarantee future results
• You should conduct your own research before making investment decisions

8. Limitation of Liability

To the maximum extent permitted by law, InsightMeter shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Investment losses or financial damages
• Service interruptions or data loss
• Third-party actions or content

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may collect and process your personal data for the purpose of providing our services, improving user experience, and complying with legal obligations.

10. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be discontinued
• You remain liable for any outstanding fees
• Provisions regarding intellectual property and liability survive termination

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, where InsightMeter is incorporated. For EU users, these Terms are subject to EU consumer protection laws. For US users, these Terms are subject to applicable US federal and state laws.

Any disputes arising from these Terms or your use of the Service shall be resolved as follows: (1) EU users may bring disputes before their local courts or consumer dispute resolution bodies; (2) US users may resolve disputes through binding arbitration in accordance with the rules of the American Arbitration Association; (3) All other users shall resolve disputes in Hong Kong courts.

12. User-Generated Content and Predictions

12.1 User Content

• Users may submit predictions, comments, or other content through the Service
• You retain ownership of your content but grant InsightMeter a license to use, display, and analyze it
• You are responsible for ensuring your content does not violate any laws or third-party rights
• InsightMeter reserves the right to remove content that violates these Terms

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
